VirtusNova Beta Terms

VirtusNova may make certain products, features, services, or functionalities available to Customers and Authorized Users on a trial, preview, experimental, or early-access basis prior to general commercial release (collectively, “Beta Services”). Beta Services may include features powered by third-party artificial intelligence or machine learning technologies.
Beta Services are made available solely for evaluation and testing purposes, are not intended for production use, and are subject to these VirtusNova Beta Terms (the “Beta Terms”).
These Beta Terms are incorporated into, and form part of, the terms applicable to Customer’s access to and use of the VirtusNova Services, including the VirtusNova Enterprise Terms or other applicable terms governing Customer’s subscription (collectively, the “Terms”). Capitalized terms not defined in these Beta Terms have the meanings given to them in the Terms.
For purposes of these Beta Terms, “you,” “your,” “Customer,” or “Company” refers to the person or legal entity accessing or using the Beta Services, and “VirtusNova,” “we,” “us,” or “our” refers to Wilken UG (haftungsbeschränkt), operating as VirtusNova.
1. Access to Beta Services
Subject to these Beta Terms, VirtusNova grants Customer a limited, revocable, non-exclusive, non-transferable right to access and use the Beta Services solely for internal evaluation and testing during the applicable beta testing period.
VirtusNova may, at any time and in its sole discretion:
Modify, suspend, or discontinue any Beta Service;
Limit or revoke Customer’s access to Beta Services; or
Terminate Customer’s participation in any beta program,
in each case with or without notice and without liability, provided that VirtusNova will use commercially reasonable efforts to provide advance notice where practicable.
2. Feedback
Customer agrees to provide suggestions, comments, evaluations, or other feedback regarding the Beta Services as reasonably requested by VirtusNova (collectively, “Beta Feedback”).
Customer hereby grants VirtusNova a royalty-free, worldwide, perpetual, irrevocable, transferable, sublicensable license to use, disclose, reproduce, modify, incorporate, and otherwise exploit the Beta Feedback for any purpose, including product development, improvement, marketing, and commercialization, without compensation or attribution.
All Beta Services and Beta Feedback constitute VirtusNova Confidential Information, unless otherwise expressly stated in writing. VirtusNova may reference generalized feedback or results in marketing or promotional materials, provided Customer is not identified without consent.
3. Nature of Beta Services
Customer acknowledges and agrees that:
Beta Services are pre-release, may contain defects, errors, bugs, or inaccuracies, and may not operate correctly or consistently;
Beta Services may be substantially modified prior to commercial availability or may never be commercially released;
VirtusNova has no obligation to provide maintenance, updates, documentation, or technical support for Beta Services; and
VirtusNova makes no guarantees regarding functionality, performance, availability, security, or compatibility of Beta Services.
4. No Warranties; Limitation of Liability
BETA SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
Customer uses the Beta Services entirely at its own risk. To the maximum extent permitted by applicable law:
VirtusNova disclaims all liability arising out of or related to the Beta Services; and
In no event will VirtusNova be liable for any damages whatsoever (including direct, indirect, incidental, consequential, special, exemplary, or punitive damages), arising from or related to the use of or inability to use the Beta Services, even if VirtusNova has been advised of the possibility of such damages.
For clarity, Beta Services are excluded from any service level commitments, warranties, indemnities, or support obligations set forth in the SLA, Enterprise Terms, or any other agreement, unless expressly stated otherwise in writing by VirtusNova.
5. Governing Terms
These Beta Terms supplement, and do not replace, the Terms. In the event of a conflict between these Beta Terms and the Terms, these Beta Terms control solely with respect to Beta Services.
